These Terms & Conditions (“Terms”) govern your access to and use of our B2B multi-vendor platform, including all features, services, tools, and transactions conducted through it. By registering, accessing, or using the platform, you agree to be bound by these Terms.
1. Platform Overview
The platform operates as a business-to-business (B2B) marketplace that enables registered buyers and vendors to interact, list products, place bids, and conduct commercial transactions.
We act solely as a technology facilitator and are not a party to any transaction between buyers and vendors.
2. Eligibility
- Users must be 18 years or older and legally capable of entering into binding contracts
- Users must represent a registered business entity or act in a business capacity
- Accurate and complete business information must be provided during registration
We reserve the right to approve, suspend, or terminate accounts at our discretion.
3. Account Registration & Security
- Users are responsible for maintaining the confidentiality of login credentials
- All activities conducted through an account are the account holder’s responsibility
- Unauthorized use must be reported immediately
We are not liable for losses caused by compromised credentials due to user negligence.
4. Vendor Obligations
Vendors agree to:
- Provide accurate product descriptions, pricing, and availability
- Comply with applicable tax, GST, invoicing, and regulatory requirements
- Fulfill orders in a timely and professional manner
- Use buyer information strictly for order fulfillment and communication
Vendors are solely responsible for the products and services they offer.
5. Buyer Obligations
Buyers agree to:
- Place orders or bids with genuine intent to purchase
- Make timely payments as per agreed terms
- Review product specifications carefully before ordering
- Comply with vendor-specific policies
Buyers acknowledge that B2B purchases may have limited cancellation or return rights.
6. Orders, Pricing & Payments
- Prices are determined by vendors and may include or exclude taxes as specified
- Payments must be completed using approved payment methods
- We may hold payments temporarily to facilitate dispute resolution or settlements
Failure to complete payment may result in order cancellation or account suspension.
7. Bidding & Auction Terms
- All bids are final and legally binding
- Winning bids create a contractual obligation to complete payment
- Bid withdrawals, cancellations, or renegotiations are not permitted
- Failure to honor winning bids may result in penalties or permanent account suspension
8. Shipping & Delivery
- Delivery timelines are estimated and depend on vendor logistics
- Delays due to force majeure events are not the platform’s responsibility
- Risk of loss transfers to the buyer upon delivery, unless otherwise specified
9. Returns, Refunds & Cancellations
- Returns and refunds are governed by the platform’s Returns & Refund Policy
- Refund approval rests primarily with the vendor
- Auction orders are generally non-refundable
The platform is not liable for vendor decisions unless required by law.
10. Intellectual Property
- All platform content, design, software, and branding are owned by the platform
- Users may not copy, modify, distribute, or exploit platform content without permission
- Vendors retain ownership of their product content but grant usage rights for display
11. Prohibited Activities
Users must not:
- Provide false or misleading information
- Engage in fraudulent bidding or transactions
- Violate intellectual property rights
- Use the platform for unlawful or unethical purposes
- Attempt to bypass platform security or payment systems
Violation may result in immediate termination and legal action.
12. Account Suspension & Termination
We reserve the right to:
- Suspend or terminate accounts without prior notice
- Remove listings or restrict access for policy violations
- Withhold settlements during investigations
Termination does not waive outstanding obligations or liabilities.
13. Limitation of Liability
To the maximum extent permitted by law:
- The platform is not liable for indirect, incidental, or consequential damages
- We do not guarantee uninterrupted or error-free service
- Liability is limited to the amount of platform fees paid, if any
14. Indemnification
Users agree to indemnify and hold harmless the platform from claims, damages, losses, or expenses arising from:
- Breach of these Terms
- Violation of laws or third-party rights
- Misuse of the platform
15. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of India.
All disputes shall be subject to the exclusive jurisdiction of courts located in New Delhi.
16. Modifications to Terms
We may update these Terms at any time. Continued use of the platform constitutes acceptance of revised Terms.
