Platform Overview<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">The platform operates as a <strong>business-to-business (B2B) marketplace<\/strong> that enables registered buyers and vendors to interact, list products, place bids, and conduct commercial transactions.<br>We act solely as a <strong>technology facilitator<\/strong> and are not a party to any transaction between buyers and vendors.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">2. Eligibility<\/h2>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Users must be <strong>18 years or older<\/strong> and legally capable of entering into binding contracts<\/li>\n\n\n\n<li>Users must represent a registered business entity or act in a business capacity<\/li>\n\n\n\n<li>Accurate and complete business information must be provided during registration<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">We reserve the right to approve, suspend, or terminate accounts at our discretion.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">3. Account Registration &amp; Security<\/h2>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Users are responsible for maintaining the confidentiality of login credentials<\/li>\n\n\n\n<li>All activities conducted through an account are the account holder\u2019s responsibility<\/li>\n\n\n\n<li>Unauthorized use must be reported immediately<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">We are not liable for losses caused by compromised credentials due to user negligence.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">4. Vendor Obligations<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Vendors agree to:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Provide accurate product descriptions, pricing, and availability<\/li>\n\n\n\n<li>Comply with applicable tax, GST, invoicing, and regulatory requirements<\/li>\n\n\n\n<li>Fulfill orders in a timely and professional manner<\/li>\n\n\n\n<li>Use buyer information strictly for order fulfillment and communication<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">Vendors are solely responsible for the products and services they offer.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">5. Buyer Obligations<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Buyers agree to:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Place orders or bids with genuine intent to purchase<\/li>\n\n\n\n<li>Make timely payments as per agreed terms<\/li>\n\n\n\n<li>Review product specifications carefully before ordering<\/li>\n\n\n\n<li>Comply with vendor-specific policies<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">Buyers acknowledge that B2B purchases may have limited cancellation or return rights.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">6. Orders, Pricing &amp; Payments<\/h2>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Prices are determined by vendors and may include or exclude taxes as specified<\/li>\n\n\n\n<li>Payments must be completed using approved payment methods<\/li>\n\n\n\n<li>We may hold payments temporarily to facilitate dispute resolution or settlements<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">Failure to complete payment may result in order cancellation or account suspension.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">7. Bidding &amp; Auction Terms<\/h2>\n\n\n\n<ul class=\"wp-block-list\">\n<li>All bids are <strong>final and legally binding<\/strong><\/li>\n\n\n\n<li>Winning bids create a contractual obligation to complete payment<\/li>\n\n\n\n<li>Bid withdrawals, cancellations, or renegotiations are not permitted<\/li>\n\n\n\n<li>Failure to honor winning bids may result in penalties or permanent account suspension<\/li>\n<\/ul>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">8. Shipping &amp; Delivery<\/h2>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Delivery timelines are estimated and depend on vendor logistics<\/li>\n\n\n\n<li>Delays due to force majeure events are not the platform\u2019s responsibility<\/li>\n\n\n\n<li>Risk of loss transfers to the buyer upon delivery, unless otherwise specified<\/li>\n<\/ul>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">9. Returns, Refunds &amp; Cancellations<\/h2>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Returns and refunds are governed by the platform\u2019s <strong>Returns &amp; Refund Policy<\/strong><\/li>\n\n\n\n<li>Refund approval rests primarily with the vendor<\/li>\n\n\n\n<li>Auction orders are generally non-refundable<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">The platform is not liable for vendor decisions unless required by law.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">10. Intellectual Property<\/h2>\n\n\n\n<ul class=\"wp-block-list\">\n<li>All platform content, design, software, and branding are owned by the platform<\/li>\n\n\n\n<li>Users may not copy, modify, distribute, or exploit platform content without permission<\/li>\n\n\n\n<li>Vendors retain ownership of their product content but grant usage rights for display<\/li>\n<\/ul>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">11. Prohibited Activities<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Users must not:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Provide false or misleading information<\/li>\n\n\n\n<li>Engage in fraudulent bidding or transactions<\/li>\n\n\n\n<li>Violate intellectual property rights<\/li>\n\n\n\n<li>Use the platform for unlawful or unethical purposes<\/li>\n\n\n\n<li>Attempt to bypass platform security or payment systems<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">Violation may result in immediate termination and legal action.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">12. Account Suspension &amp; Termination<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">We reserve the right to:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Suspend or terminate accounts without prior notice<\/li>\n\n\n\n<li>Remove listings or restrict access for policy violations<\/li>\n\n\n\n<li>Withhold settlements during investigations<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">Termination does not waive outstanding obligations or liabilities.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">13. Limitation of Liability<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">To the maximum extent permitted by law:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>The platform is not liable for indirect, incidental, or consequential damages<\/li>\n\n\n\n<li>We do not guarantee uninterrupted or error-free service<\/li>\n\n\n\n<li>Liability is limited to the amount of platform fees paid, if any<\/li>\n<\/ul>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">14. Indemnification<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Users agree to indemnify and hold harmless the platform from claims, damages, losses, or expenses arising from:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Breach of these Terms<\/li>\n\n\n\n<li>Violation of laws or third-party rights<\/li>\n\n\n\n<li>Misuse of the platform<\/li>\n<\/ul>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">15. Governing Law &amp; Jurisdiction<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">These Terms shall be governed by and construed in accordance with the laws of <strong>India<\/strong>.<br>All disputes shall be subject to the exclusive jurisdiction of courts located in <strong>New Delhi<\/strong>.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">16. Modifications to Terms<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">We may update these Terms at any time.
